Two terms, two different problems
Open any publication about enterprise AI and you'll find "AI governance" and "AI safety" used interchangeably, or in the same sentence, as if they describe the same thing. They don't.
The confusion is understandable — both involve oversight of AI systems, and both matter. But if you're a general counsel or CCO trying to build an enterprise AI program, treating them as synonyms means buying the wrong tools, asking the wrong questions, and leaving real exposure unaddressed.
AI safety is a societal and technical problem
AI safety, in its primary sense, is about ensuring AI systems behave in alignment with human values and intentions — particularly as AI becomes more capable. The concerns are broad and largely theoretical:
- Will a sufficiently powerful AI system pursue goals that are harmful to humanity?
- How do you specify what you want AI systems to do in a way that's robust to unexpected situations?
- Can AI systems be made interpretable enough for humans to verify their behavior?
AI safety research is conducted primarily at academic institutions and AI labs. The outputs are technical: alignment techniques, interpretability methods, formal verification approaches. It's a field oriented toward ensuring AI remains broadly beneficial over time.
This is legitimate and important work. It is not, however, what the GC or CCO at a mid-market enterprise needs to be operationally concerned with this quarter.
AI governance is an organizational and operational problem
AI governance, as it applies to enterprise compliance, is about the policies, processes, and technical controls that ensure AI systems operating within your organization behave according to your specific rules, regulatory obligations, and legal constraints.
The questions here are concrete:
- Does this AI agent know what our approved product claims are?
- Can it reproduce confidential information in contexts where it shouldn't?
- Is it aware we have an active litigation hold covering certain topics?
- When it drafts a client communication, does it apply the right regulatory framework for that client's jurisdiction?
AI governance answers these by creating the technical and policy infrastructure to enforce your organization's specific rules on AI behavior — not in the abstract, but in the context of your actual operations.
They live in different parts of the org and draw from different budgets
One practical reason the distinction matters: AI safety and AI governance belong to different functions and get funded differently.
AI safety, to the extent enterprises engage with it at all, tends to sit with the AI/ML engineering team, the CISO, or an AI strategy function. It involves model selection, red teaming, output filtering, model cards.
AI governance is owned by Legal, Compliance, and Risk. The buyer is the GC, the CCO, or the CRO — not the CISO, not the head of AI engineering. It involves policy enforcement, regulatory adherence, liability exposure, and audit trails.
Vendors that position themselves as "AI safety" platforms are usually selling to the technical or security buyer. If you're a compliance leader evaluating AI governance tools and a vendor starts talking about "general AI alignment," that's a tell. The right question to ask: does this tool help enforce my company's specific policies and regulatory obligations on AI agent behavior? If the answer is "we focus on output quality and general safety," that's not an AI governance platform.
Where they actually overlap
The two concepts aren't entirely separate — they share a common concern: AI systems doing things they shouldn't. But they define "shouldn't" differently.
AI safety defines it in terms of harm to humanity, broadly. AI governance defines it in terms of violation of your organization's specific policies, your industry's regulatory framework, and your legal obligations.
An AI agent that tells a client a product "meets all applicable regulatory requirements" isn't violating an AI safety norm. It's doing what it was trained to do — sound helpful and confident. But it's violating a governance norm: making a regulatory claim your legal team never approved. AI safety tooling won't catch this. AI governance tooling — specifically, tooling that knows your company's approved claims and checks agent outputs against them — will.
Similarly, an AI agent that reproduces the contents of a document subject to a litigation hold in a client-facing communication isn't "unsafe" in any AI safety sense. It looks like normal output. It's a serious problem in context, and only a governance layer with awareness of your current litigation posture will catch it.
Why this distinction is especially relevant right now
The reason this has gone from conceptual to urgent is that AI agents are now operating in enterprise workflows at scale. Gartner projects that 40 percent of enterprise applications will feature AI agents by 2026, up from less than 5 percent in 2025. As they take on communications tasks — responding to customers, drafting contracts, managing vendor relationships — the compliance exposure they create is a governance problem, not a safety problem.
A Gartner survey of 104 general counsel published in October 2025 found that 36 percent of GCs are now focused on AI adoption, building AI skills in their legal department, or improving AI risk management. The legal function is arriving at this problem. The tools it needs are governance tools — not safety tools. The question for a general counsel isn't "could this AI agent become misaligned with human values?" It's "will this AI agent say something that creates legal liability for my company in the next 30 days?"
That's an AI governance question. It requires an AI governance answer: a policy infrastructure layer that enforces your organization's specific rules on AI agent behavior, in real time, at every inference call.
Compliance teams that are waiting for AI safety research to solve their AI governance problems are waiting for the wrong thing. The problems are different. The solutions are different. AI governance is an operational need right now, for any organization that is already deploying AI agents in commercially significant workflows.
